Instacart (NASDAQ: CART ) stock rallied almost 10% on Friday as investors reacted to news that the company was exploring a potential sale to a larger competitor.

CART closed at $56.44, up 9.21% for the day, with the rally pushing shares above a resistance zone around $51 to $52, where previous advances had encountered selling pressure.

The breakout followed a recovery from support around $35 to $36 earlier in 2026. CART subsequently established a series of higher price levels, with the latest rally bringing the stock close to $58.

The $58 area is the next level to watch. A sustained move above it could reinforce the technical breakout, while a retreat below the former $51 to $52 resistance zone could weaken the bullish setup.

Why CART stock rallied over 9%

The rally followed reports of preliminary discussions with DoorDash (NASDAQ: DASH) and Uber Technologies (NYSE: UBER ), as investors priced in the possibility of an acquisition premium.

Reports indicated that Instacart was working with an investment bank to evaluate its options, although discussions remained preliminary and no deal was guaranteed.

A typical takeover premium of 30% to 40% could value the company at approximately $16 billion to $17 billion, compared with its market value of around $12 billion before the report.

Notably, competition is intensifying as DoorDash, Uber Eats and Amazon expand their grocery delivery services.

Therefore, Instacart’s established marketplace and retailer relationships could make it an attractive acquisition target for a larger platform seeking to strengthen its position in the market.

However, subsequent reporting by Bloomberg indicated that Uber had walked away from discussions with Instacart, while preliminary talks with DoorDash had also been reported.

Neither report established that a deal would proceed. Any transaction could face antitrust scrutiny because it would combine major players in the food delivery market.

Instacart stock fundamentals

Instacart’s financial performance may also support its appeal to potential buyers. The company reported second-quarter 2026 revenue of approximately $1.04 billion, up 14% year over year, while free cash flow reached $480 million.

However, revenue growth has slowed from the levels recorded during the pandemic-era expansion of online grocery shopping.

Despite Friday’s rally, the outlook for Instacart stock remains uncertain because the move was primarily driven by acquisition speculation rather than a confirmed transaction.

A successful sale could offer shareholders a premium to the prevailing share price, but the outcome would depend on the buyer, deal terms, and regulatory approval.

Regulatory scrutiny is particularly relevant given the overlap between Instacart, DoorDash, and Uber Eats. Previous acquisition discussions between DoorDash and Instacart in 2021 reportedly collapsed amid concerns about regulatory approval.
